Role (overview)

  • Oversee the implementation of the new client Company Secretarial & Governance model in Jersey, across different operational teams and solution lines (all areas; Corporate Solutions; Real Asset; Private Equity and Debt).
  • Oversee the day to day administration for a select portfolio of clients
  • Work with different departments and teams (both local and remote) to provide best practice guidance and support on Company Secretarial and Governance matters.
  • Oversee the continued use (and implementation – where required) of new in-house board meeting workflow tool which allows us to track meeting progress and centralise KPI’s across all departments and clients where board support services are provided.
  • Review and update template Policy & Procedures including template minutes, where required.
  • Assisting in meeting targets, driving the change agenda, deliver to high standards of client service and regulatory requirements.
  • A sound knowledge of Company Secretarial tasks with an ability to apply the relevant regulations and rules associated with Apex’s business activities is essential. 
  • Be a confident leader, with the capability to disseminate knowledge and expertise to others which will drive a culture of continuous improvement though apprenticeship and openness, and contribute to the ongoing high performance of the section. 
  • Handle the filing of all annual returns and other statutory documents for clients
  • Stay updated with relevant developments and changes in statutory and regulatory obligations
  • Represent Jersey as a member of the Apex Global Cosec Forum

 

Key responsibilities

People

  • Work closely with Head of Product Delivery & Governance Services CS & Head of Listed Funds & Governance in the strategic development and enhancement of the best in class Company Secretarial and Governance model for clients.
  • Pro-actively collaborate across different client servicing departments in relation to Company Secretarial Support & Governance services.
  • Pro-actively collaborate across different functions within the business, including, but not limited to, compliance, risk, accounting, and relationship management.
  • Work with the dedicated cosec teams on to manage workloads and keep them appraised of ongoing service delivery matters where required.
  • Provide training to client teams where required on updated Policy & Procedures or training on Cosec workflow tool.

 

Client Service

  • Prepare and organise board meetings and shareholder meetings
  • Support client teams in Company Secretarial & Governance services
  • Monitor and ensure adherence with service level agreements through the use of KPIs reporting tool.
  • Review changes in legislation and corporate governance and disseminate implications to the Jersey business and assist with procedural changes where necessary.

 

Risk & Compliance

  • Monitor departmental compliance with policies and procedures.
  • Responsible for ensuring KPI’s are tracked and monitored and issues highlighted to Senior Management where relevant.
  • Pro-actively keep up to date with current industry issues and developments.

 

 

Qualifications and skills

Essential

  • In the process of attaining or holds a relevant professional qualification recognised by the Jersey Financial Services, preferably ICG or ACCA.
  • At least ten years financial services experience, or equivalent.
  • Previous experience in people management.
  • Relevant expertise and comprehensive technical knowledge of corporate governance matters and the ability to communicate professionally and confidently.

  • Broad understanding of the fiduciary products offered by Apex Group Ltd, as well as the specific offerings within corporate services.
  • Self-motivated and have the ability to multi-task and work under pressure.
  • The ability to deal with clients and professional advisors, and proven commitment to providing a quality service.
  • Excellent organisational and administrative skills, and ability to identify and suggest procedural improvements.
  • Wide ranging experience and skills in the understanding and application of accounting and bookkeeping principles and the interpretation of financial statements.
